Part 2: Commercial Terms & Conditions of Sale of Goods

 

About Us The CNC Workshop provides cut & edge and CNC machining services as part of the Customer’s production process. These Terms are designed to support a clear, fair, and efficient working relationship.

 

Definitions

  • Customer: The person or business placing an Order.

  • Goods: All materials, panels, and services supplied.

  • Order: Any request submitted via the Website, email, phone, or in person.

  • Website: The CNC Workshop’s online ordering platform.

Basis of Contract

  • These Terms apply to all Orders and take precedence over any other terms.

  • An Order becomes binding once confirmed by the Customer and accepted by The CNC Workshop, or when production begins.

  • The CNC Workshop aims to operate as an integrated part of the Customer’s workflow.

Orders & Specifications All Goods are made-to-order based on Customer-provided specifications. The Customer is responsible for:

  • Dimensions and cutting lists

  • Material selection

  • Edge banding selections

  • CNC files and drawings

  • Quantities and orientation

The CNC Workshop may assist with entering Orders or discussing requirements; however, responsibility for final specifications remains with the Customer. Any guidance provided is for support only and does not replace the Customer’s responsibility for accuracy and suitability.

Orders Entered on Behalf of the Customer Where The CNC Workshop inputs an Order (in person, by phone, or by email), it does so based on information provided by the Customer and acts as a data-entry and processing partner.

  • In-person Orders: Signed cutting lists or order summaries confirm that the Customer has reviewed and approved all details.

  • Phone and Email Orders: The CNC Workshop will provide a quotation or order summary. The Customer must review and confirm accuracy before production.

  • Confirmation: An Order is considered confirmed when the Customer provides approval (written or verbal), makes payment, or instructs The CNC Workshop to proceed. Once confirmed, the Order is treated as final and moves into production accordingly.

Online Ordering

  • Orders placed via the Website are treated as confirmed once submitted.

  • The system may optimise material usage automatically to improve efficiency.

  • The CNC Workshop is not responsible for errors in input data, file uploads, or selections made by the Customer.

Pricing & Payment

  • Prices are as quoted at the time of Order.

  • Payment terms for Website Orders are payment in advance. Account Customers are subject to terms as agreed.

  • The CNC Workshop may pause or delay Orders where payment is outstanding.

Lead Times

  • Lead times are provided to support planning but are estimates rather than guarantees.

  • The CNC Workshop will always aim to meet stated timelines and communicate where adjustments are needed.

  • Delays may occur due to production flow, inter-branch logistics, or supply factors. Delays do not entitle the Customer to cancellation or compensation.

Delivery, Collection & Storage

  • Delivery and Collection: The Customer selects delivery or collection at the time of Order. The CNC Workshop may deliver directly or via a third-party carrier.

  • Risk: Risk passes on collection when Goods are handed over, or on delivery once unloaded.

  • Delivery Confirmation: A signature or acknowledgment confirms receipt of Goods, but not full inspection. The Customer acknowledges that, due to the nature and volume of the Goods, full inspection at the point of delivery or collection may not be reasonably practicable, and that inspection is expected to take place shortly after receipt.

  • Delivery Cooperation: The CNC Workshop will work with the Customer to ensure smooth delivery. The Customer is responsible for providing accurate delivery details and suitable access.

  • Failed or Delayed Delivery: Where delivery cannot be completed due to Customer-related reasons, The CNC Workshop may rearrange delivery or apply reasonable redelivery or aborted delivery charges. The CNC Workshop will always aim to minimise disruption and agree practical solutions where possible.

  • Collection of Goods: The CNC Workshop will notify the Customer when Goods are ready for collection. The Customer is expected to collect Goods within 3 working days of notification.

  • Overdue Collections: If Goods are not collected within this period, The CNC Workshop will make reasonable efforts to contact the Customer and agree a revised collection date. Where Goods remain uncollected, The CNC Workshop may apply a daily storage charge, and will notify the Customer before such charges begin.

  • Extended Storage and Disposal: If Goods remain uncollected after a further period, The CNC Workshop reserves the right to continue applying storage charges, and/or recycle or dispose of the Goods. The CNC Workshop will make reasonable efforts to notify the Customer before disposal.

Inspection & Claims The CNC Workshop recognises that its services form part of the Customer’s production process and aims to resolve issues quickly and fairly. The Customer should inspect Goods as soon as reasonably practicable after receipt.

To allow effective investigation, the Customer should notify The CNC Workshop of:

  • Visible damage or shortages within 3 days of delivery or collection.

  • Any other issues within 5 days of delivery or collection.

The CNC Workshop will review claims in good faith, which may include reviewing production and packing records, reviewing CCTV footage of dispatch, or assessing photographs provided. The Customer agrees to provide reasonable cooperation.

As Goods are produced to Customer specifications, the Customer remains responsible for the accuracy of all information provided. The CNC Workshop will always aim to support the Customer but cannot accept responsibility for incorrect or incomplete specifications, unclear instructions, or misuse, handling, or installation.

Claims raised outside the above timeframes may be more difficult to assess fairly, and The CNC Workshop reserves the right to decline such claims. Where a claim is accepted, The CNC Workshop will work with the Customer to agree a fair outcome, which may include remanufacture, partial credit, or another reasonable commercial solution.

Changes & Cancellations

  • Orders can be amended before production begins.

  • Once in production, changes may not be possible or may incur additional cost.

  • Cancellation after production has started may result in charges reflecting work completed.

Use & Suitability The Customer is responsible for ensuring Goods are suitable for their intended use. The CNC Workshop supports the production process but does not assume responsibility for design, structural application, or final use.

Limitation of Liability The CNC Workshop aims to work collaboratively and fairly at all times. Where liability arises, it is limited to the value of the relevant Order. The CNC Workshop is not responsible for indirect or consequential losses, including project delays, third-party costs, or installation expenses.

Retention of Title Goods remain the property of The CNC Workshop until fully paid for.

Force Majeure The CNC Workshop is not liable for delays or failures caused by events outside its control.

General These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
